1. Acceptance of Terms

By accessing or using the services provided by WinWave Solutions, you explicitly acknowledge and agree to comply with these Terms and Conditions. Your continued use of our services constitutes your acceptance of any updates or modifications to these terms. It is essential to regularly review these terms to stay informed about any changes.

2. Services

WinWave Solutions is committed to providing a robust platform designed to streamline your business operations, enhance communication, and elevate overall efficiency. Our comprehensive suite of services is tailored to meet the unique needs of your business.We may introduce new features, technologies, or discontinue certain functionalities as part of our ongoing commitment to innovation. Your continued use of the platform signifies your acceptance of these changes.

3. Use of the Platform

The platform is provided on an "as is" and "as available" basis without warranty of any kind. WinWave Solutions disclaims all warranties, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

4. User Registration

To access specific services, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

5. Privacy

Protecting your privacy is a top priority. Your use of our services implies acceptance of our Privacy Policy, which details how we collect, use, and safeguard your data.

6. User Conduct

You are prohibited from engaging in activities that disrupt the proper functioning of our platform. Violation may result in account suspension or legal action.

7. Intellectual Property

All content, materials, and intellectual property remain the property of WinWave Solutions or its licensors. You retain ownership of your data but grant WinWave Solutions a non-exclusive license to use and display it for service enhancement purposes.

8. Fees for Phone Calls, SMS, and Email Usage

For all subscription plans starting at
$97/month and above, clients will receive a complimentary monthly usage credit for phone calls, SMS, and email services. Once this credit is exhausted, any additional usage will be billed at the applicable overage rates outlined in our Fee Guide. Overage Fee Guide:SMS: Charges per message sent or received.Phone Calls: Charges per minute (inbound/outbound).Email: Charges per email sent. Clients can access the Fee Guide within their account dashboard or by contacting our support team.To avoid unexpected charges, we encourage users to actively monitor their usage through the platform's built-in analytics dashboard. All overage fees will be
automatically billed at the end of each billing cycle and will appear on your next invoice.

9. AI Employees and Features Usage

WinWave Solutions offers advanced AI-driven features, such as AI Chat, AI Voice, and Funnel AI. Unless you are subscribed to an
Unlimited AI Flat-Rate Plan, all AI feature usage will be billed per usage as follows:

AI Chat Messages: $0.04 per message AI Voice: $0.15 per minute Funnel AI: $1.50 per funnel automation

Clients are responsible for reviewing and understanding the usage costs detailed in our
AI Fee Guide, which is available upon request or through your account dashboard.

Unlimited AI Flat-Rate Plan: Subscribers under this plan enjoy unlimited AI usage for standard business operations. However, WinWave Solutions reserves the right to monitor for abuse or abnormal usage. Abuse includes, but is not limited to: Excessive usage inconsistent with normal operational patterns. Automated spam campaigns. Bulk usage for purposes outside intended platform capabilities.

If abuse is detected, WinWave Solutions may: Notify the client of the detected usage. Apply additional fees based on the actual volume of usage. Suspend or terminate AI features until the issue is resolved.

Our goal is to ensure fair access and optimal performance for all users. Users are encouraged to maintain responsible and transparent AI usage.

10. AI Setup and Done-For-You Services

WinWave Solutions may offer AI Bot Setup and other Done-For-You (DFY) services
as part of our premium offerings. By engaging with these services, you agree to the following:

Scope of Services: AI bots, workflows, and automations will be configured based on the information provided by the client. Clients are responsible for ensuring the accuracy of all content, data, and workflows provided to WinWave Solutions. DFY services include setup, initial testing, and handover of the project. Any modifications beyond the initial scope will incur additional fees as outlined in our Fee Guide. Client

Responsibility: Clients must provide timely access to necessary accounts, systems, and data required for setup.Any delays caused by missing or inaccurate information may extend project timelines. Ownership and Control: Upon completion of the service, all AI bots, workflows, and related configurations are handed over to the client. The client assumes full responsibility for their operation, monitoring, and compliance with applicable laws.

Service Limitations: WinWave Solutions is not liable for any performance issues arising from the misuse, modification, or external factors beyond our control after the project handover. Additional requests, modifications, or enhancements beyond the original scope of work will be billed separately.Billing and Fees: All DFY services are subject to upfront payments or milestone-based billing as specified in the service agreement. Fees for AI usage incurred during setup (e.g., AI messaging, AI voice testing) will be billed in addition to the setup fees.

By engaging WinWave Solutions for AI Setup or DFY services, you acknowledge and accept the terms outlined above.

11. Limitation of Liability

WinWave Solutions shall not be liable for any direct, indirect, or incidental damages arising from the use of our platform. In jurisdictions where limitations are not allowed, our liability is limited to the maximum extent permitted by law.

12. Termination

We may suspend or terminate your access to our services at any time without notice for violation of these terms or non-payment of fees.

13. Subscription Terms and Automatic Payment

Subscribers must ensure timely payment of all subscription fees. Payments are processed automatically based on the selected plan (monthly or annually). Additional usage fees for Phone, SMS, Email, or AI features will be applied as applicable. Failure to process payments may result in account suspension or termination.

14. Force Majeure

WinWave Solutions is not liable for service interruptions due to events beyond our control, such as natural disasters, wars, or technological failures.

15. Amendments to Terms

We reserve the right to update these Terms and Conditions without prior notice. Continued use of the platform after changes indicates acceptance of the updated terms.

17. AI Services and Limitations

WinWave Solutions leverages advanced AI technologies powered by OpenAI's ChatGPT to provide AI-driven features such as AI Chat, AI Voice, and other automation capabilities. While these features are designed to enhance your business operations, the following terms apply to their use:

Service Dependencies

AI Service Uptime: The AI services provided by WinWave Solutions depend on OpenAI's ChatGPT infrastructure. In the rare event of an outage or disruption in OpenAI's services, customers may experience temporary interruptions in AI-related functionalities. Such outages are beyond our control. Liability Limitation: WinWave Solutions shall not be held liable for any delays, losses, or disruptions caused by temporary outages of OpenAI's ChatGPT services. We work closely with our partners to ensure such disruptions are resolved promptly. Resolution of Issues: Outages or disruptions are generally temporary and resolved by OpenAI in a timely manner. During such events, we recommend monitoring updates provided by WinWave Solutions or OpenAI.

Customer Responsibility

By using our AI services, you acknowledge and accept the potential for temporary outages and agree that such occurrences do not constitute grounds for liability claims or service refunds.
